Klout measured online influence and, by 2014, had become one of the most recognised names in social analytics. Recognition and enterprise value are not the same thing, and the question was which acquirer could turn a large consumer footprint into durable commercial value.
Recognition is not enterprise value
The answer was a platform business that could put the data to work across an existing enterprise customer base. Lithium Technologies acquired Klout in March 2014.
Finding the buyer the data was worth the most to
A few provisions tend to matter most.
The headline price. It is the number everyone reads first and the one that matters least on its own. Understand what it is conditional on and what it is worth after those conditions.
Earn-outs and holdbacks. These decide how much of the price is actually paid at close and how much depends on performance the founder may no longer control. The specific wording matters a great deal.
Governance after close. These govern what the founders still decide once the deal is done. They are common, and their scope is negotiable.
The structure of the consideration. How much is cash, how much is stock, and when each arrives can matter more than the headline over time.
Why an inbound offer is a starting point
When a process comes with pressure to move quickly, it is worth asking why. A short window is rarely enough to test whether the best buyer is actually in the room, and in most cases asking for the time to run a proper process is entirely reasonable.
Everything is more negotiable than it looks
The most common misconception about an inbound offer is that it is take-it-or-leave-it. Frequently it is not. The terms, including price, structure and timeline, are usually open to negotiation, particularly when a credible alternative exists. Running a real process before signing changes the terms meaningfully, and occasionally substantially.
The bottom line
An inbound offer deserves the same care as any other significant transaction. Read it slowly, notice what you are being asked to give up, and do not let a tight deadline rush a decision that lasts well beyond it. Lithium Technologies acquired Klout in March 2014, after a process that established what the data was worth to the platform that could use it.
